City National Bank Of Florida’s Social Media Terms of Use

City National Bank Of Florida (“CNB”) recognizes the importance of the Internet in the day-to-day operations and has developed the Terms of Use (“Terms”) to guide in the community’s (“visitors and followers” of CNB social media sites) utilization of social media, as may be appropriate. The goal is to help ensure that the individuals connecting with CNB on third party social media sites such as Facebook, Twitter, or LinkedIn (“social media sites”) achieve the greatest possible benefit from utilizing social media in a respectful, relevant way.

Please review our Terms carefully. By accessing our social media sites you accept and agree to be bound by these Terms. If you do not agree to be bound by these terms and conditions, please do not access or otherwise use our social media sites. CNB expressly reserves the right to make any changes to these Terms, or to our social media sites and any of the content on them at any time.

Use of Social Media Sites

CNB social media sites are intended to share relevant and helpful information about CNB, our services and products, and what we are doing in the communities we serve. The content is for information purposes only, not as an offer to sell or the solicitation for the purchase of CNB stocks, or any other issuer or company.

We encourage our community to be truthful, professional, positive, transparent, and compliant with laws and regulations. Respecting differences, appreciating the diversity of opinions, and speaking or conducting yourself in a courteous manner is expected at all times.

Please note that CNB social media sites are moderated Monday through Friday from 9:00 am ET to 5:00 pm ET, excluding national holidays. While every effort is made to respond in a timely manner, we cannot guarantee a reply to every post or comment.

Removal of Posts, Comments or Content

We appreciate feedback and welcome the free-flow of ideas and information; however, CNB reserves the right, without notice, to delete, edit or block any social media content on accounts that represent CNB if it violates the platform’s terms of use or the law or if it is abusive, obscene, inflammatory, culturally, racially or socially insensitive, hateful or inappropriate, or that contains pornography, nudity, prostitution, or other adult content, unauthorized and/or unsolicited advertising, spam, or hyperlinks, viruses, spyware, malware or other malicious components that are designed to harm the functionality of a computer in any way. Specifically, CNB reserves the right to delete any content that is deemed:

Employees and third-parties are not allowed to share information that is confidential and proprietary about the Bank or its customers, unless an authorized representative of the Bank gives prior written approval. This includes information about upcoming product releases, sales, finances, number of products sold, number of employees, account numbers, personal phone numbers, personal addresses, Bank strategy, and any other information that has not been publicly released by the company. These are given as examples only and do not totally cover the range of what the Bank considers confidential and proprietary. CNB reserves the right to remove any posting of this kind, whether created by a CNB employee or a third party at any time for any reason, without notice or explanation.

In certain instances, and at the sole discretion of CNB, we may, without notice, suspend, terminate or block community members of the social media site who violate these Terms.

Unofficial Sites Disclaimer

CNB does not take any responsibility for any unofficial or unapproved social media sites, pages, or social media content. Official and approved sites will be governed by CNB’s Marketing team and authorized members from CNB’s Business Lines or third-party providers.

All official CNB social media accounts are subject to review at any time for brand consistency, content appropriateness, and compliance. Content posted by others is not edited by CNB and does not necessarily represent the views or positions of CNB.

Children's Privacy

Any website designed for kids or is geared to a general audience and collects information from someone they know is under the age of 13 must comply with the Children’s Online Privacy Protection Act (“COPPA”).  LinkedIn, Facebook, Twitter, Google+ and other social media sites employ age restrictions within their sign-up process as well as within their user agreements, terms of use, etc., requiring users to be 13 or older. CNB’s social media efforts will not target or be aimed at children under the age of 13. CNB will not engage in the collection of personal information of children under the age of 13 via its social media program. In addition, CNB will follow the COPPA rules for handling the child’s information. CNB maintains the confidentiality of all Nonpublic Personal Information (“NPI”) that it collects, no matter the person’s age.  

Personal Information

Please understand that CNB’s social media sites are owned by third parties that are unaffiliated with CNB. CNB is not responsible for the security or privacy policies of these sites or other third-party sites that may be linked to or from within them.

Social media sites are public. Anything you post can be read, collected, or used by others and that such disclosures are subject solely to the privacy policies and protections of the social media sites. CNB has no control over these sites and is therefore not responsible for any personal information you may choose to disclose through them. CNB is also not responsible for views expressed by visitors on CNB’s social media pages. Content posted by visitors do not necessarily represent the opinion of CNB.

CNB will never contact you to request personal information by posting them to social media sites or sharing them via email, phone, or text communication, including account numbers, online bank account username or passwords, personal identification information such as social security number or date of birth, or any other confidential customer information. In addition, please do not post any personal, private or confidential information about others that has not been voluntarily made available by them in a public post, or for which you do not have their permission to post or that could otherwise be viewed as an invasion of their privacy. CNB will never disclose, or ask for you to disclose, non-public, personally identifying information through its social media sites. If there is a need for such information, CNB will provide alternative communication methods.

Employees

CNB does not endorse content that is not from authorized Bank representatives or not previously approved by the Bank. If you are a CNB employee, please disclose your employment so that we may ensure our community is aware of any material connection you may have to the Bank.

Third Party Posts

Only representatives who are officially designated by CNB have the authorization to speak on behalf of CNB via any form of media – including but not limited to social media sites. CNB does not endorse, and disclaims all liability for, any content, postings, comments, statements or opinions made by third parties, unless they have been specifically designated to speak on behalf of CNB via the social media sites. This includes any forward, re-post or submission of any kind of our content by a member of our social media community.

Third-Party Links

In addition, CNB may occasionally post links to third-party sites or third-party content with information they think will be helpful to customers. This does not in any way constitute an official endorsement of the individual, website, or company. CNB has not reviewed all of the third-party sites linked to its sites and is not responsible for the contents of any such linked site.

Advertisement and Promotions

No social media postings of an advertisement or social nature shall be misleading, inaccurate, or otherwise misrepresent CNB’s products, services, business, and social positions. In accordance with CNB policy, all advertisements shall contain any required disclosures, and all disclosures shall be made in a clear, conspicuous, legible and reasonable understandable manner.

At the same time, posts published by a member of our social media site’s community should never contain unauthorized and/or unsolicited advertising, fraud, spam, hyperlinks or content protected by copyright, trademark or other rights.

Sweepstakes, contests, or similar promotions made available through CNB social media sites shall be governed by specific rules that are separate from and in addition to these Terms. By participating in any such sweepstakes, contests or similar promotions, you will become subject to those rules.

Legal Notices

CNB social media sites may not be used to submit any form of legal notice or process, to exhaust any legal remedy, or to submit a demand, claim, or formal or informal complaint. CNB may report to the proper authorities any comments posted that are deemed criminal in nature, or that imply or instigate violence toward oneself or another.

License

By posting comments, photographs, video, ideas, information or other content to CNB social media sites, you automatically grant, and you represent and warrant that you have the right to grant, to CNB and its affiliates, an irrevocable, perpetual, sub-licensable, non-exclusive, transferable, royalty-free, worldwide license to republish, redistribute, or otherwise use the content for any purpose we see fit. This includes, but is not limited to, any marketing and advertising materials, media, promotions, derivative works or to incorporate into other works.

Copyright

By submitting content to CNB social media sites, you warrant and represent that you own the copyright of the content or have been granted permission by the copyright owner to use the content consistent with the manner and purpose of your use.

If you believe CNB’s social media content infringes on your copyrights, send CNB a notice requesting removal of material or block access to it. Refer to the Copyright Office website for details on notices and counter-notices: www.copyright.gov.
